Overview

This Terms of Service Agreement ("Agreement") is entered into between Pluto Creative Labs Limited ("Company") and you and is made effective as of the date of your use of the Zyggy app and it’s related services.

This Agreement sets forth the general terms and conditions of your use of Zyggy as well as the products and/or services accessed through it. Your electronic acceptance of this Agreement signifies that you have read, understand, acknowledge, and agree to be bound by this Agreement and our Privacy policy.

The terms "we", "us" or "our" shall refer to Company. The terms "you", "your", "User" or "customer" shall refer to any individual or entity who accepts this Agreement by using the Zyggy app.

Company may, in its sole and absolute discretion, change or modify this Agreement, and any policies or agreements which are incorporated herein, at any time, and such changes or modifications shall be effective immediately upon posting to this page (https://www.zyggy.co/terms-of-service-1) and in-app. Your use of Zyggy and its Services after such changes or modifications have been made shall constitute your acceptance of this Agreement as last revised.

IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT AS LAST REVISED, DO NOT USE (OR CONTINUE TO USE) THE APP, OR THE SERVICES.

About us

Zyggy/Pluto Creative Labs LTD  is a technology company that provides payment services. We are not a bank but we work in partnership with licensed payment providers/processors. All services we render are contained in this document. Services provided are made available via the Zyggy app, we may also provide our services via an API, web page, or other third parties.

Eligibility

Zyggy and the Services are available only to users who can form legally binding contracts under applicable laws. By using Zyggy or the Services, you represent and warrant that: 

  • You are at least eighteen (18) years of age.

  • You are recognized as being able to form legally binding contracts under applicable laws.

  • You are not a person barred from purchasing or receiving the services found under the laws of the United Kingdom, United States Of America, Canada, Nigeria, or other applicable jurisdictions.

  • You only have and operate one Zyggy account, every other account created by the same person is automatically rejected at verification.

  • All information provided by you is correct and accurate.

  • You have carefully considered the terms of this agreement and decided to proceed with the services rendered.

  • You will provide any other additional information demanded about you with regard to transactions that happen on your account.

  • You will not open an account on behalf of anybody else that is not you and attempt verification with details that are not yours.

Our services

Zyggy provides payment and money collection services. Funds can be added to your wallet account by charge on your card or transfer to your dedicated virtual accounts. Withdrawals are also made from your wallet account to pay for services initiated. Your wallet account is used to keep track of all credits and debits that happen on your account as well as maintain financial records of all your transactions.

Once you have been registered and you account has been verified you can perform the following actions

  • Add money to your Zyggy wallet account using your card or dedicated virtual accounts.

  • Send money from your account to other Zyggy users using their phone number on your contact list and using their registered tags/handle.

  • Send money to banks in Nigeria and other international locations including  United Kingdom, USA and Canada.

  • Send money to bank accounts in Ghana, Kenya and South Africa.

  • Send money to mobile money accounts in Ghana and Kenya.

  • Pay bills and buy airtime.

  • Create virtual dollar cards to pay and shop locally and internationally.

  • Request for EUR, NGN and GBP virtual bank account numbers to receive international payments.

  • Trade your forex US dollar using our peer-to-peer trade feature

  • Make payments at vendors and merchants using our biometric facial recognition payments feature

Manage and keep track of all your transactions.

You will be updated in-app and through emails/push notifications as new features are added.

Registration on Zyggy

To use Zyggy, you have to register an account with your information as required in the onboarding process. Details we require when signing up includes:

  • First name

  • Last name

  • Mobile number

  • Email address

  • Date of birth

You are also required to set up a password and pin that gives you access to the app at login and required to authenticate transactions you make.  

Users can only have one account, any other request for registration initiated by users with the same phone number or email address is automatically rejected.

Zyggy reserves the right and sole discretion to refuse or put an end to registrations with or without cause or notice.  

If there is an update on information you provided at registration, You agree to notify us within 14 days of such change using the email addresses hello@zyggy.co


Identity verification

You will not be able to use your account for any transaction until your identity is verified. We require your bank verification number to run a verification check and create dedicated virtual account numbers for you. Identity verification is to ensure that you are who you said you are and protect your account from any impersonation. Additional verification documents(National identification number or Drivers license or immigration passport and utility bill payment receipt) will also be required to perform some other transactions(ex. Creating foreign virtual accounts). 

Sensitive information

  • You are responsible for maintaining the confidentiality of your login details(email, phone number, password, and pin).

  • Maintain confidentiality of sensitive details if by any chance you decide to share them with any other trusted party.

  • You agree to notify us immediately if there has been any unauthorized access to your account using your email/phone number and password or your pin to authorize transactions you didn’t initiate.

Fees and charges

When transacting on Zyggy, some services carry a fee which will be displayed to you at the time of transaction.

  • You agree to pay the charge for the transaction and any other fee attached to the charge.

  • Do not proceed if you do not agree with the charge and fee attached to a transaction.

  • If you initiate a transaction that results in Zyggy being charged fees for chargeback, you agree to settle Zyggy of all such fees.

  • You authorize us to charge(fees inclusive) your wallet available balance and make withdrawals for any transaction initiated by you.

  •  Zyggy will not be responsible for any additional fees/charge by financial institutions associated with your added payment method(ex. Credit/debit card, direct bank debit etc.)

  • Company expressly reserves the right to change or modify its charges and fees at any time. Any of such changes or modifications shall be made available to you at the point of transaction.

Transacting on Zyggy

  • You may access the available funds in your account at any time using your mobile phone and the Internet. We will ensure to provide our services as advertised but we offer the services “as is” and without any warranties.

  • We generate a unique transaction reference for each transaction made that can be used to track any transaction made.

  • We notify you of any transaction made on your account via push notifications, you can also decide to activate sms notification.

  • You must authorize each transaction using pin or biometric authentication. Failure to pass authentication using pin or fingerprint, transactions will not be processed.

  • Your account will be credited for every deposit made to it plus any transaction fee that results from processing the transaction which Zyggy charges.

  •  A record of your transactions will be available to you which you can download as PDF or share with a third party.

  • There may be additional verification required by financial institutions providing your payment method. You are required to provide these information before your request to credit your account is granted.

Termination of account

You may terminate use of your account by simply discontinuing its usage and deleting the app from your device. 

We may also terminate your account without prior notice or any liability to you. We might terminate your account for any of the following or any number of reasons. 

  • We have reason to believe your account is used for any fraudulent activity. We reserve the right to report such cases to the authorities.

  • You participate in any activity that breaches the content of this terms of service. 

  • We have reason to believe your use is harmful to our app, to us, our system or software/hardware.  

  • We have been required by law, regulation, or court order to terminate your account. 

  • We have reason to believe the information you provided is fake or untrue.  

Governing law

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the laws of ,United Kingdom, United States, Canada and Nigeria, to the exclusion of conflict of law rules.

Discontinued Services/Service Limitations

Company reserves the right to cease offering or providing any of the Services at any time, for any or no reason, and without prior notice. Although Company makes great efforts to maximize the lifespan of all its Services, there are times when a Service we offer will be discontinued. If that is the case, that product or service will no longer be supported by Company. In such case, Company will either offer a comparable Service for you to migrate to or a refund. Company will not be liable to you or any third party for any modification, suspension, or discontinuance of any of the Services we may offer or facilitate access to.

Zyggy do not warrant that the functions contained in the service rendered will be uninterrupted or error free, and we shall not be responsible for any service interruptions (including, but not limited to, power outages, system failures or other interruptions that may affect the receipt, processing, acceptance, completion or settlement of Payment Transactions or the Service).

Limitations of Liability; Force Majeure

In no event shall Zyggy be responsible or liable for any failure or delay in the performance of its obligations hereunder arising out of or caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes  and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware) services; it being understood that the Company, as the case may be, shall use reasonable efforts that are consistent with accepted practices in the to resume performance as soon as practicable under the circumstances.

Indemnity

You agree to protect, defend, indemnify and hold harmless Company and its officers, directors, employees, agents from and against any and all claims, demands, costs, expenses, losses, liabilities and damages of every kind and nature (including, without limitation, reasonable attorneys’ fees) imposed upon or incurred by Company directly or indirectly arising from (i) your use of and access to this app; (ii) your violation of any provision of this Agreement or the policies or agreements which are incorporated herein; and/or (iii) your violation of any third-party right, including without limitation any intellectual property or other proprietary right. The indemnification obligations under this section shall survive any termination or expiration of this Agreement or your use of this Paylign or any of its services.

Dispute Resolution

We shall first make an effort to settle disputes amicably. Any controversy or claim arising out of or relating to these Terms of Services will be settled by binding arbitration. Any such controversy or claim must be arbitrated on an individual basis, and must not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration must be conducted in the United Kingdom or Nigeria, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.

Severability

Each covenant and agreement in this Agreement shall be construed for all purposes to be a separate and independent covenant or agreement. If a court of competent jurisdiction holds any provision (or portion of a provision) of this Agreement to be illegal, invalid, or otherwise unenforceable, the remaining provisions (or portions of provisions) of this Agreement shall not be affected thereby and shall be found to be valid and enforceable to the fullest extent permitted by law.

Site Terms of Use Modifications

Zyggy may revise these Terms of service at any time without prior notice. By using this App and its services. You are agreeing to be bound by the current version of these Terms and Service.
